As a corporate and commercial lawyer, we regularly advise clients on the structuring and negotiation of joint venture agreements that are tailored to their commercial objectives and legal obligations.<\/p><p>\u00a0<\/p><p><strong>What is a Joint Venture?<\/strong><\/p><p>\u00a0<\/p><p>A joint venture is a business arrangement where two or more parties agree to pool their resources for a specific goal \u2013 such as developing a new product, entering a foreign market, or carrying out a large-scale infrastructure project. Unlike a merger, the parties in a JV remain separate entities.<\/p><p>\u00a0<\/p><p>In corporate law Malaysia, joint ventures typically fall into one of two categories:<\/p><p>\u00a0<\/p><ul><li><strong>Incorporated Joint Venture<\/strong> \u2013 This involves the formation of a separate legal entity (usually a private limited company or Sdn Bhd) as a special purpose vehicle (SPV). This structure is common for longer-term or capital-intensive ventures.<\/li><\/ul><p>\u00a0<\/p><ul><li><strong>Unincorporated Joint Venture<\/strong> \u2013 This does not involve forming a new company. Instead, the relationship is purely contractual. The parties remain separate legal entities and operate based on the terms agreed in the joint venture agreement. This model is commonly used in construction, engineering, oil and gas, and infrastructure projects, where forming a company may not be commercially necessary.<\/li><\/ul><p>\u00a0<\/p><p><strong>Key Clauses in a Joint Venture Agreement<\/strong><\/p><p>\u00a0<\/p><p>A well-drafted joint venture agreement minimises the risk of disputes and provides a clear framework for cooperation. Key terms typically include:<\/p><p>\u00a0<\/p><ol><li><strong>Objectives of the Joint Venture<\/strong><\/li><\/ol><p>States the purpose, scope, and intended outcomes of the joint venture, including the nature of the business or project to be undertaken.<\/p><p><strong>\u00a0<\/strong><\/p><ol start=\"2\"><li><strong>Capital Contribution<\/strong><\/li><\/ol><p>Specifies each party\u2019s financial and\/or asset contributions, and their equity stakes (if incorporated) or profit shares (if unincorporated).<\/p><p>\u00a0<\/p><ol start=\"3\"><li><strong>Obligations of Each Party<\/strong><\/li><\/ol><p>Defines the scope of work, resources, or responsibilities each party must fulfil under the venture.<\/p><p>\u00a0<\/p><ol start=\"4\"><li><strong>Management and Decision-Making<\/strong><\/li><\/ol><p>Outlines how decisions are to be made, whether by unanimous consent, majority vote, or weighted voting, and provides for the formation of a management committee where applicable.<\/p><p>\u00a0<\/p><ol start=\"5\"><li><strong>Profit-Sharing<\/strong><\/li><\/ol><p>Sets out how profits and losses will be divided between the parties.<\/p><p>\u00a0<\/p><ol start=\"6\"><li><strong>Exit strategy and Termination<\/strong><\/li><\/ol><p>Provides for circumstances in which a party exits the joint venture, including buyout rights, put\/call options, or termination events.<\/p><p>\u00a0<\/p><ol start=\"7\"><li><strong>Intellectual Property Rights<\/strong><\/li><\/ol><p>Clarifies ownership, licensing, or usage rights of any IP developed, contributed, or used during the course of the joint venture.<\/p><p><strong>\u00a0<\/strong><\/p><ol start=\"8\"><li><strong>Non-Compete and Confidentiality<\/strong><\/li><\/ol><p>Establishes protections for proprietary information and restrictions against engaging in competing activities during or after the venture.<\/p><p>\u00a0<\/p><ol start=\"9\"><li><strong>Deadlock resolution<\/strong><\/li><\/ol><p>Specifies mechanisms to resolve deadlocks, such as negotiation, mediation, arbitration, or a \u201cRussian roulette\u201d clause.<\/p><p>\u00a0<\/p><ol start=\"10\"><li><strong>Dispute resolution<\/strong><\/li><\/ol><p>Sets out how disputes will be resolved, including applicable law, venue, and method (e.g. arbitration or litigation).<\/p><p>\u00a0<\/p><p><strong>\u4e3a\u4ec0\u4e48\u9700\u8981\u6cd5\u5f8b\u652f\u63f4\uff1f<\/strong><\/p><p>\u00a0<\/p><p>Engaging a qualified corporate and commercial lawyer ensures that your joint venture is legally sound and aligned with the Companies Act 2016 and other applicable laws in corporate law Malaysia.<\/p><p>\u00a0<\/p><p>Each joint venture is unique \u2013 and without legal guidance, parties risk ambiguity, disputes, or non-performance.
